About the role
What we're looking for?
We are seeking an Intellectual Property Transactions Associate with a minimum of 3 years of experience focused on patent acquisition and patent licensing. You should be comfortable drafting and negotiating sophisticated IP deal documents and have a track record of managing transactional workstreams. Bonus points if you have broader tech transactions exposure, including enterprise licensing and IP diligence in M&A deals.
What you'll do:
- Draft, review, and negotiate patent licenses and support patent acquisition/disposition matters.
- Take ownership of structuring and negotiating ownership and IP allocation in joint development and collaboration agreements.
- Work closely with corporate/M&A, finance, and IP litigation colleagues on transactions where IP is a key value driver.
- Support IP diligence in broader M&A and financing transactions by assessing ownership, encumbrances, and transferability.
- Lead workstreams on sophisticated IP deals, driving next steps with internal teams and counterparties.
- Analyze and produce concise issue summaries and recommend positions on complex patent transaction terms.
